4. Payment Terms

• Payment is due upon receipt of your invoice unless we agree otherwise in writing.
• Accepted payment methods include credit card or bank transfer.
• Late payments may incur a fee of 3% interest per month.
• Fees for services like AI Consulting, AI Agents, or Voice AI are non-refundable once work begins, except as agreed in writing.
• The free AI Business Audit is provided at no cost, but subsequent services require payment as outlined in your invoice.
• You are responsible for providing accurate, complete, and current billing information and for paying any applicable taxes related to your purchase or use of our services.

5. Intellectual Property

• We own all intellectual property rights in our services, including our AI technology (e.g., algorithms, PhD-level AI agents, Voice AI voices), software, and materials provided during consulting.
• You are granted a non-exclusive, non-transferable license to use our services for your internal business purposes only.
• Custom AI agents or Voice AI solutions built for you remain our intellectual property unless ownership is transferred in writing.
• You may not copy, modify, distribute, or reverse-engineer our technology without our prior written consent.
• Any unauthorized use of our content or branding materials may be subject to legal action.

6. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, special, or consequential damages (e.g., lost profits, data loss) arising from your use of our services.
• Our total liability for any claim is limited to the amount you paid us for the services in the prior 3 months.

7. Termination

• We may suspend or terminate your access to our services without notice if you violate these Terms, misuse our technology, or engage in conduct harmful to us or others.
• Harassing, abusive, or unethical behavior may result in immediate termination without refund.
• You may terminate your use of our services by notifying us in writing at legal@wwaisolutions.com. No refunds will be issued for unused services unless agreed otherwise.
• Upon termination, your license to use our intellectual property ends immediately.

8. Third-Party Services

Our services may incorporate or interface with third-party platforms, including but not limited to Twilio, n8n, and ElevenLabs. We are not responsible for the content, security, or performance of third-party services. Your use of these services is subject to their respective Terms of Service.

9. Google Services, APIs, and Research Intelligence

Worldwide AI Solutions Research Intelligence is our internal advertising research application, described at wwaisolutions.com/research-intelligence. Authorized Worldwide AI Solutions personnel and internal automation systems acting on our behalf use it to support Google Ads keyword research, market analysis, and campaign planning. It is not a public product, and we do not offer public sign-up or direct Google Ads API access to clients or the general public through it.

Research Intelligence connects to authorized Google Ads accounts through Google's OAuth 2.0 authorization process. Anyone who authorizes an account may revoke that authorization at any time from their Google Account permissions. Our handling of data received through Google APIs is described in Section 6 of our Privacy Policy.

Google, Google Ads, and the Google Ads API are services of Google LLC and are third-party services. Worldwide AI Solutions LLC is an independent company. Google does not sponsor, endorse, certify, or operate our services, and integrating with Google APIs does not create any partnership, affiliation, or endorsement between Google and Worldwide AI Solutions. Use of Google services remains subject to Google's own terms and policies.

We do not control third-party APIs and platforms. We make no guarantee that any third-party API, including the Google Ads API, will remain available, accurate, uninterrupted, or unchanged. Third-party providers may modify, deprecate, rate-limit, suspend, or withdraw their services at any time, and we are not liable for any resulting interruption, delay, data unavailability, or loss of functionality.

10. Indemnification

You agree to defend, indemnify, and hold harmless Worldwide AI Solutions, its officers, directors, employees, and agents from and against any and all claims, losses, liabilities, damages, and expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

11. Confidentiality

Both parties agree to protect confidential information disclosed during the course of service engagements. This includes business processes, customer data, and proprietary technology. Information that is public, independently developed, or legally disclosed by a third party is not considered confidential.

13. Governing Law

These Terms are governed by the laws of the State of Florida. Disputes will be resolved exclusively in the courts located in the State of Florida. You agree to first attempt to resolve any issue with us informally. If a resolution cannot be reached, the matter shall be brought before a court within one year of the dispute arising. The prevailing party in any legal action may recover reasonable attorney's fees.
